Formica Formation Design Competition (the “Competition”)

Terms and Conditions

Promoter: Formica Limited, Coast Road, North Shields, Tyne & Wear, NE29 8RE, United Kingdom

Eligibility

1. The Competition is open to students who are over 18 and who are currently enrolled on a design course at any University in Ireland, France, Spain, Russia, Finland, Poland, Sweden, the UK, Belgium, the Netherlands or Denmark. Your University will be required to register with Formica to enable you to take part. Employees of (i) any Formica Group entity, (ii) any Formica affiliated company, or (iii) anyone else connected with the administration of the Competition, as well as their immediate family and household members, are not eligible to enter the Competition. ‘Immediate family’ means spouse/partner, parents, siblings, children, and each of their respective spouses/partners.

2. Express acceptance of these Terms and Conditions is necessary to participate in the Competition. Nevertheless, entry into the Competition is deemed acceptance of these Terms and Conditions and the Terms and Conditions will bind the entrant.

3. The Promoter may request proof of eligibility to enter and reserves the right to disqualify any entrant who fails to satisfy the eligibility criteria set out above.

4. Entry into the competition is free and without obligation to purchase.

Entry

5. To enter the Competition, entrants must submit a design proposal (“Design”) to [email protected] using a file transfer service such as wetransfer.com between 1 January and 19th June 2020 (the “Entry Period”). Together with the Design, the entrant shall also submit his or hers (i) full name and surname, (ii) nationality, (iii) address, (iv) e-mail address and (v) the name of the University they are currently enrolled in, the name of their course and the name and contact details of their lecturer. The Promoter will use these information to contact you by e-mail or by post.

6. Be submitted in English.

7. Each Design must:

• Comprise a piece of furniture that (a) incorporates Formica® laminate; and (b) enhances life. See www.formica.com/en-gb/campaigns/formica-formations for the full list of Formica® laminates available for the Design. Technical specifications pertaining to materials can be found at www.formica.com/en-gb/campaigns/formica-formations or for further info please email [email protected].

• Focus on any one of the following two categories:
○ home living space (e.g. bedroom, living room); or
○ public space (e.g. reception, bar, restaurant, office).

• Include Design drawings and accompanying explanatory text (maximum 1,000 words). Please note:

○ Both Design drawings and working drawings should be sufficiently detailed to completely and accurately describe all aspects of the piece of furniture – this is to ensure the integrity of your Design if fabricated.

○ A complete and explicit list of all materials used in the Design must be included.

8. You may include non-Formica® materials as design elements in a Design, as long as the non-Formica materials do not exceed 30% of the Design in proportion to the Formica® laminate used (not including necessary substrates, hardware, or wiring).

9. Dimensions:
○ Final assembled size of each Design must not exceed the dimensions: 3m Length x 2m Width x 1.5m Height

10. Weight:
○ The final weight of each Design after fabrication must not exceed: 80kg

11. Any Design entries received that do not meet the above criteria will be disqualified. The Design should be a drawing not a model, a prototype is not required.

12. Entrants may enter as many times as they wish providing that a different design proposal is submitted with each entry within the Entry Period.

13. To the maximum extent permitted by law, the Promoter does not accept responsibility for any entries that are late, lost, incomplete, rendered illegible or for any network, computer, hardware or software failures of any kind, which may restrict or delay the sending or receipt of your entry.

14. The Promoter may, at its absolute discretion, refuse to accept any entry that is deemed to be incomplete, rendered illegible, automated, plagiarised or potentially infringing or defamatory and entries submitted on behalf of third parties will be disqualified.

Winners / Prizes

15. There are three prizes available that will be awarded as follows:

• 1st Place – iPad pro; and either £1000 Love to Shop Voucher (if the Winner is UK-based) or €1150 Love to Shop Voucher
• 2nd Place - £800 Love to Shop Voucher (if the Winner is UK-based) or €900 Love to Shop Voucher
• 3rd Place - £500 Love to Shop Voucher (if the Winner is UK-based) or €550 Love to Shop Voucher

16. Eligible Design entries will be judged based on their functionality, ability to fabricate, presentation, creativity and innovation on 26th June 2020 (“Draw Date”).

17. A maximum of one prize will be awarded to any one Design entry.

18. Three Winners will be chosen by a Panel of judges. The judges’ decision is final. 

19. Winners will be notified by email or post of their success within 7 days of the Competition Draw Date. From the date of notification Winners will have 8 weeks to claim their prize by Email. If a Winner fails to claim their prize within 8 weeks of being notified of their success they will be deemed to have forfeited the prize and the Promoter reserves the right to award the prize to an alternative entrant.

General

20. Each of the Winners hereby acknowledges that we may use the personal information and materials you submit, including your name, drawings, Design/s, photographs, images, likeness and voice, for advertising, promotional and publicity purposes and in all related promotional activity without any rights of prior approval or inspection where you have given us your consent to do so in accordance with applicable data protection law. Once given, their consent will be worldwide and effective as of the date on which the three winning Designs are selected in accordance with clause 16 above, for the entire duration of the rights concerned. On giving their consent, the Winners will agree to participate in any and all advertising, promotion or other commercial activities relating to the Competition (including via social media, email campaigns and other PR promotions).

21. At the Promoter's own discretion, the 1st place winning Design entry will be fully fabricated by the Promoter and will feature in the Promoter's promotional material.

22. By entering your Design in the Competition, you warrant and guarantee (i) that you are the sole legal and beneficial owner of, and own all the rights and interests in, your Design, (ii) that you have not licensed or assigned any intellectual property rights relating to the Design to third parties, (iii) that the exploitation of these rights by the Promoter will not infringe the rights of any third party or any applicable law; and (iv) that your Design is your original work and has not been copied wholly or partially from any third party.

In the event that your Design is one of the winning Designs, you hereby expressly and irrevocably agree that all copyrights and other intellectual property rights, whether registered or unregistered, including, without limitation design rights, patent rights, trademark rights, relating to or vested in your Design will be transferred to the Promoter, to the fullest extent possible under the applicable law. The transfer will be worldwide and shall apply to the entirety of the rights concerned, in particular to all economic rights (the right of reproduction, the right of distribution, the right of communication to the public and the right of transformation, as well as any technique, any application and any (digital or analogue) known form, method and support of exploitation). It shall be exclusive, unconditional and irrevocable, and effective as of the date on which you receive the prize, for the entire duration of the intellectual property rights concerned. The Promoter shall be allowed to assign, transfer or sublicense these rights to third parties, including its group entities, on an exclusive or non-exclusive basis, with or without remuneration. You hereby acknowledge and agree that the prizes mentioned above provide full and sufficient compensation for this transfer of rights, and that no further compensation or royalty payments are due or will be due in the future in this respect.

In addition, if your Design is one of the winning Designs, you hereby expressly waive in favour of the Promoter all and any moral or equivalent rights which you may now or at any time possess in respect of the Design to the fullest extent permitted by law. You hereby expressly authorize the Promoter to decide at its own discretion if, and in which way, the Design shall be exploited, to exploit the Design without mentioning your name and to modify the Design at the Promoter’s own discretion and to the fullest extent permitted by law.

The Promoter shall have the right to fulfil all necessary formalities in view of protecting and defending the transferred intellectual property rights. By entering in the Competition you agree to enter into a reiterative written agreement with the Promoter where all conditions will be reinstated and you grant the Promoter an irrevocable power of attorney to make, do or execute all documents, act, matters and/or writings which the Promoter deems necessary or desirable to give full effect to the transfer of intellectual property rights in case your Design is one of the winning Designs.

23. The Promoter will use the personal information you provide in connection with this Competition for the purposes of facilitating the conduct of the Competition and arranging the award of the prize. The Promoter must have information available that indicates that a valid award took place. To comply with this obligation the Promoter will send the surname and country of major prize winners and, if applicable copies of their winning entries, to anyone who emails [email protected] and ask for the award to be validated. If you object to any or all of your surname, county and winning entry being made available, please contact the Promoter [email protected]. The Promoter must still provide the information and winning entry to the relevant regulatory advertising agency on request. 24. To the maximum extent permitted by law, the Promoter accepts no responsibility for any loss, damage, injury or disappointment suffered by any entrant resulting from entering the Competition or by acceptance of a prize, or any damage to your or another person’s computer or mobile phone equipment as a consequence of downloading any material relating to this Competition.  Nothing will exclude the Promoter’s liability for death or personal injury resulting from our negligence.

25. Any personal tax liability resulting from the receipt of prizes in the Competition will be the responsibility of the individual winner/s.

26. The Promoter reserves the right to suspend, cancel or amend the Competition, the prizes and/or any of these Terms and Conditions without prior notice if it cannot be operated, conducted or completed as planned or due to events or circumstances arising beyond the Promoter’s control, or otherwise where fraud, abuse, and/or an error (human or computer) affects or could affect the proper operation of the Competition. The Promoter will always endeavour to minimise the effect to Participants in order to avoid disappointment. 

27. Any prize details that are not specified will be determined by the Promoter in its sole discretion. The prize is not transferable and must be accepted as awarded.

28. These Terms and Conditions constitute the entire agreement between the parties and supersede and extinguish all previous drafts, agreements, arrangements and understandings between them, whether written or oral, relating to its subject matter. These Terms and Conditions cannot be altered or modified except by the Promoter in accordance with the Terms and Conditions. Each party agrees that it shall have no remedies in respect of any representation or warranty (whether made innocently or negligently) that is not set out in the Terms and Conditions.

29. If any provision in these Terms and Conditions is held, in whole or part, to be invalid or unenforceable for any reason, the validity of the remaining provisions of these Terms and Conditions shall not be affected, and they shall continue to be valid and enforceable. The invalid or unenforceable provision shall be replaced with a valid provision which is as similar as possible in substance to the invalid or unenforceable provision.

30. These Terms and Conditions and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction of the Participant’s residence.
